Provider details
“Live-cart” is the service’s trading name. The provider’s registration details (full registered name or sole trader’s full name, registration code, and address) have not yet been published. Until they are, this document does not meet the requirements of Article 7 of Ukraine’s E-Commerce Act and is not a complete public offer.
The provider carries on no licensed activity, so no licence details are given.
Subject matter
The provider gives the customer access to the Live-cart software service (live-cart.com) — a shop page at its own address, and a dashboard to run it: product catalogue, live feed, buyer checkout, order records, payment and delivery settings, and analytics.
Which features are available depends on the chosen plan. The rules of use are set out in the Terms of Use, which form an integral part of this contract.
How the contract is concluded
This document is an offer — a proposal to contract on the terms set out here. The contract is concluded when the customer registers for the service; selecting a plan constitutes agreement to the payment terms of that plan.
Only a business acting for business purposes may be a customer. This is a contract of adhesion: its terms are the same for everyone and are accepted as a whole.
Plans
The fee has a fixed monthly part and a percentage part. Prices are denominated in US dollars.
- Starter — $9 per month + 1.5%. Up to 1,000 products; one payment provider and one CRM enabled at checkout; up to two custom payment methods; outbound webhooks.
- Base — $19 per month + 1.0%. Up to 10,000 products; otherwise as Starter.
- Pro — $69 per month + 0.6%. No limit on products, payment providers, CRMs or custom payment methods.
Outbound webhooks are included on every plan without exception.
Payment
Payment is taken from a prepaid balance. The customer tops up their shop balance, and the service deducts the amounts due from it each month. We do not store card details and do not charge a card automatically.
Prices are denominated in US dollars, but deductions are made in Ukrainian hryvnia at the official National Bank of Ukraine rate on the date of deduction. The monthly amount in hryvnia therefore moves with the exchange rate.
Each monthly deduction has two parts:
- the fixed fee, in advance, for the coming month;
- the percentage part, in arrears, for the month just ended.
How the commission is calculated
The percentage part is charged on the total value of all orders placed in the customer’s shop during the billing period.
Note that this includes all placed orders — cancelled and unpaid ones as well. We state this plainly so that the amount on an invoice is never a surprise.
The provider does not receive buyers’ money: it goes directly to the customer’s own account with their payment provider. Our commission is billed separately and is never taken out of a buyer’s payment.
Free trial
On first selecting a plan the customer receives 30 days free. The trial is granted once per shop and is not renewed by changing plan. No card is required to start. No percentage fee accrues on orders placed during the trial.
Changing plan
Moving to a higher plan takes effect immediately. Moving to a lower plan takes effect at the end of the current paid period — the month at the higher plan is already paid for, so its features remain available until the period ends, and that month is not refunded.
When you move to a higher plan, two amounts are deducted from your balance at that moment:
- the difference in the monthly fee, charged only for the part of the current period still ahead (pro rata by days remaining). The full new monthly fee is not charged, because the current month has already been paid for at the previous plan;
- the revenue percentage at the previous plan’s rate, for orders placed between the start of the current period and the moment of the change. The new plan’s lower rate applies only to orders placed after it.
What happens if the balance runs out
If there are not enough funds, the balance goes negative. In that case:
- the dashboard remains fully available — data, orders and catalogue are not removed;
- the shop page goes offline once the balance has been negative for more than 7 consecutive days. Buyers can no longer see the shop;
- topping the balance up brings the page back.
Term and termination
The contract runs indefinitely until either party ends it. The customer may stop using the service at any time by ceasing to top up the balance or by writing to the provider.
Any unused prepaid balance is not refundable, except where a refund is expressly required by law. Because the service is paid for in advance by the month, we suggest topping up only for the period you actually intend to use.
The grounds on which the provider may suspend access are set out in the Terms of Use.
Taxes
All amounts are stated inclusive of any taxes payable by the provider under its own tax regime. There is no connection or setup fee.
The customer is responsible for taxes arising from its own activity and its sales to buyers.
Unalterable copy of the contract
Under Article 11 § 7 of Ukraine’s E-Commerce Act the customer is entitled to receive the text of this contract in a form that prevents its content from being altered. Send a request to [email protected] and we will supply it as a PDF stating the version date.
The provider confirms receipt of a service order by sending a message to the customer’s email address.
